Terms of Service
Scope. These Terms cover the Free and Pro plans, which are the plans currently offered. The Practice plan — the EU-only processing chain for firms bound by professional secrecy — is in preparation and cannot be purchased yet; the DPA and Subprocessor List that describe that chain are marked as not yet in effect. Section 2.2 describes the chain that processes your dictation today.
1. Acceptance of Terms
By creating a Prodius account, accessing our website, or using our services, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific features.
If you do not agree to these Terms, do not use Prodius.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Zenocritus B.V., registered at Hendrick Goltziusstraat 5, 7425 PJ Deventer, Netherlands (Chamber of Commerce: 65524829, VAT: NL856147370B01) ("Prodius," "we," "us," or "our").
2. Description of Service
2.1 Service Overview
Prodius is a cloud-based voice transcription service that provides:
- Real-time speech-to-text transcription using server-side processing
- AI-powered text enhancement via language models
- AI text transformation (rewrite commands)
- Intelligent text formatting based on active application context
- Cross-platform desktop support (macOS, Windows)
2.2 Service Architecture
Important: Prodius is a cloud-based service and requires internet connectivity. Audio is transmitted to the Prodius Gateway (hosted by Scaleway in Paris, France — EU region), which processes it in memory and stores nothing. The Gateway forwards it to AI providers: audio is transcribed by Groq, Inc. (with OpenAI as fallback), and text cleanup, commands and screenshot grounding run on OpenAI. Groq and OpenAI are United States companies, so your dictation is processed outside the EU. Free and Pro are meant for your own work and are not suitable for client-confidential or otherwise privileged material. See Privacy Policy §8 for the transfer safeguards.
2.3 Subscription-Based Access
- Prodius is offered as a subscription service with free and paid plans
- Free: 2,000 words/week
- Pro: €15/month — unlimited dictation and AI, for private use (not suitable for client data)
- Practice: announced, not yet available — the EU-only chain for firms bound by professional secrecy is still in preparation. You can join the waiting list; it cannot be purchased and these Terms do not offer it.
3. User Accounts
3.1 Account Creation
To use Prodius, you must:
- Be at least 13 years old (US) or 16 years old (EU/UK)
- Provide accurate account information (email)
- Agree to these Terms and our Privacy Policy
3.2 Account Security
You are responsible for maintaining confidentiality of your account credentials, all activity under your account, and immediately notifying us of unauthorized access.
3.3 Account Ownership
Accounts are personal and non-transferable. Do not share accounts — each user must have their own account.
3.4 Account Termination by User
You may delete your account at any time by contacting support@prodius.ai. Upon deletion, access terminates immediately and account data is deleted within 30 days.
3.5 Account Suspension or Termination by Prodius
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or we are required to do so by law. We will provide 7 days notice except for serious violations.
4. Prohibited Uses
You agree NOT to use Prodius for:
4.1 Illegal Activities
- Any illegal purpose or violation of applicable law
- Recording conversations without consent of all parties (where required by law)
4.2 Privacy Violations
- Recording individuals without their knowledge or consent where legally required
- Covert surveillance in locations with reasonable expectation of privacy
Important: Many jurisdictions require all-party consent for recording. You are responsible for compliance.
4.3 Healthcare Data
Prodius is NOT HIPAA-compliant. Do not use Prodius to transcribe Protected Health Information (PHI), patient data, clinical notes, or any information subject to HIPAA, HITECH, or equivalent regulations.
4.4 Service Abuse
- Creating multiple accounts to circumvent limits
- Automated spam, bulk uploads, or resource abuse
- Reverse engineering, decompiling, or disassembling the service (except as permitted by law)
- Using Prodius to develop competing transcription or AI services
5. Subscription Terms and Billing
5.1 Pricing and Plans

All prices exclude VAT. Applicable VAT (21% for Netherlands) is stated on invoices.
5.2 Payment Processing
Self-serve subscriptions (Pro): checkout and recurring billing are handled by Lemon Squeezy, LLC, acting as merchant of record. Lemon Squeezy is the seller of record for these purchases: it processes your payment, applies the applicable VAT/sales tax, and issues the invoice or receipt, under its own terms and privacy policy. Prodius never receives your card details. You can manage your subscription (payment method, cancellation) via the Lemon Squeezy customer portal, reachable from the app or from your Lemon Squeezy receipt email.

5.3 Billing Cycles and Auto-Renewal
- Monthly Plans: Billed on the same day each month
- Annual Plans: Billed on the subscription anniversary date
- Auto-Renewal: Subscriptions renew unless cancelled
- We will notify you 7 days before renewal
5.4 Cancellation
Cancel anytime — for self-serve (Pro) subscriptions via the Lemon Squeezy customer portal, or for any subscription by contacting support@prodius.ai. No cancellation fees. Access continues until end of paid period. Account data retained for 30 days after expiration.
5.5 Refund Policy
- New subscribers: Full refund if cancelled within 7 days of first subscription
- Renewals: Refunds issued only when legally required
- Annual plans: Prorated refund at our discretion
EU Consumer Withdrawal Right (14 Days)
For EU/UK/EEA consumers: You have the right to withdraw within 14 days from purchase without giving any reason. Email support@prodius.ai with subject "Withdrawal from Subscription". We will process your refund within 14 days.
By starting to use Prodius immediately, you expressly request that service provision begins within the 14-day period and acknowledge you may lose your withdrawal right once you actively use the service.
5.6 Price Changes
We may change pricing with 30 days advance notice. Existing subscribers see new pricing at next renewal.
5.7 Free Trial
- Duration: 14 days
- Features: Pro-level access — unlimited dictation and AI actions
- Requirements: No credit card required
- After trial: Ends automatically. No automatic conversion to paid subscription.
- Limits: One free trial per user (determined by email address)
6. Service Availability
Prodius is provided "as available" with no uptime guarantees. We strive for high availability but do not guarantee any specific uptime percentage.
Prodius relies on third-party services (Groq and OpenAI for AI processing, Scaleway for gateway hosting, Supabase for authentication, Lemon Squeezy for self-serve billing). We are not liable for service interruptions caused by third-party failures.
If we discontinue Prodius: 90 days advance notice, full refunds for unused subscription periods, and 30 days to export your data.
7. Content Ownership and Intellectual Property
7.1 Your Content
You retain ownership of your voice recordings and transcriptions. You grant Prodius a limited, non-exclusive license to process your audio and text solely to provide the service. This license expires when you delete your account.
7.2 Prodius Intellectual Property
Prodius owns the service, software, algorithms, trademarks, and documentation. You may not copy, modify, or create derivative works of Prodius, or reverse engineer the service (except as permitted by law).
8. Disclaimers and Warranties
PRODIUS IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.
Transcription Accuracy
We make NO warranties regarding transcription accuracy. Errors are expected due to audio quality, accents, technical terminology, and AI limitations.
YOU SHOULD INDEPENDENTLY VERIFY ALL TRANSCRIPTIONS, especially for legal documents, financial reports, contracts, and safety-critical communications.
No Professional Advice
Prodius does not provide legal, medical, financial, or professional advice. Do not use Prodius as a substitute for professional services.
9. Limitation of Liability
To the fullest extent permitted by law, Prodius shall not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or business opportunities, or damages arising from reliance on transcription accuracy.
Liability cap:
- Paid subscribers: The greater of (a) fees paid in the 12 months preceding the claim, or (b) €100
- Trial users: €0
Some jurisdictions do not allow exclusion of certain damages. In such cases, liability will be limited to the minimum extent required by law.
Indemnification
You agree to indemnify Prodius from claims arising from your use of the service in violation of these Terms, violation of applicable laws (e.g., recording without consent), or violation of third-party rights.
10. Dispute Resolution
10.1 Informal Resolution
Before filing any legal claim, contact privacy@prodius.ai to attempt informal resolution. Required period: 60 days from initial contact.
10.2 Governing Law and Jurisdiction
These Terms are governed by the laws of the Netherlands. Any legal action shall be brought exclusively in the competent courts of the Netherlands.
10.3 EU Consumer Protection
If you are a consumer in the EU/UK, mandatory consumer protection laws may grant you additional rights that cannot be waived. You may bring legal actions in your local courts.
11. Changes to Terms
Material changes (core service, pricing, liability): 30 days advance notice via email. Non-material changes (clarifications, formatting): updated date, no advance notice. Continued use after changes constitutes acceptance.
12. General Provisions
- Entire Agreement: These Terms and our Privacy Policy constitute the full agreement
- Severability: Invalid provisions are modified or severed; remaining provisions continue
- No Waiver: Failure to enforce does not constitute waiver
- Assignment: You may not assign without our consent; we may assign freely
- Force Majeure: Not liable for failures beyond reasonable control
- Language: English version prevails in case of conflict with translations
- Survival: Sections 7-10 and 12 survive termination

14. Acknowledgment
By creating a Prodius account and using the service, you acknowledge that you have read and understood these Terms and the Privacy Policy, agree to be bound by them, meet the age requirements, will comply with all applicable recording and data protection laws, understand Prodius is a cloud service, and accept the disclaimers and limitations of liability.
If you do not agree to these Terms, do not use Prodius.

Version 4.0 · In effect since 14 August 2026
Changes in v4.0 (2026-08-14): these Terms are now in effect. The draft status was removed and the service-architecture wording (§2.2, §6) rewritten to describe the chain that is actually live: EU gateway on Scaleway, AI processing by Groq and OpenAI in the United States. Practice is now described as announced but not purchasable, and its pricing and direct-invoicing clauses were removed until the EU-only chain is live and the required Data Processing Agreements are signed.
Earlier (v3.2, 2026-08-11): gateway host named as Scaleway (Paris); self-serve (Pro) checkout and billing via Lemon Squeezy as merchant of record (§5.2, §5.4).
